CutWise Pro: Terms of Service for coaches

These terms are an agreement between you (the coach or business using CutWise Pro) and Carbon Software LTD, a company registered in Northern Ireland (company number NI735624) ("CutWise", "we", "us"). By starting a trial or a plan you agree to them, on behalf of your business if you have one.

1. What CutWise Pro is

CutWise Pro is a dashboard and service for coaches: see the information your clients choose to share from the CutWise app, set their targets and training programmes, run check-ins, message them, and use AI tools (including the assistant, Metis) to help. While your plan is active, your clients get the CutWise app included.

2. Your account

  • You must be at least 18 and provide accurate details.
  • Keep your sign-in secure. You're responsible for everything done through your account, including by anyone you let use it.
  • One account per coach. Gyms and teams with several coaches: talk to us (Enterprise is coming).

3. Trial, plans and payment

  • Free trial: 30 days, up to 3 clients, every feature. No card needed. At the end, pick a plan to keep coaching; your clients' access to coaching features pauses until you do.
  • Founding coaches: coaches from our waitlist who start, with the email they joined it with, within 30 days of CutWise Pro's launch, while founding places last (the number is limited and set by us), get a 60-day free trial for up to 10 clients instead, with no card needed. After it, their plan is charged at the founding price (Jade £19, Sapphire £47, Amethyst £99, Obsidian £199 a month; yearly, ten months' price) for as long as they stay subscribed, including when they move to another plan. A break of more than 30 days without a plan ends the founding price for good. It can't be combined with other discounts or partner codes.
  • Plans (prices exclude VAT; we're not VAT-registered today, so none is charged): Jade £25 a month (up to 25 clients), Sapphire £59 (75), Amethyst £129 (200), Obsidian £249 (500). Yearly plans cost ten months' price.
  • Billing is through Stripe, in advance, monthly or yearly, renewing automatically until you cancel.
  • Changing plan: moving up starts at once, and you pay the difference for the rest of the current period. Moving down starts at your next renewal.
  • Cancelling: any time, from Manage billing. Your plan runs to the end of the period you've paid for. We don't refund part-periods, except where the law requires it.
  • Failed payments: we retry for up to 7 days and show you a notice. If it still fails, your plan ends.
  • Price changes: we'll give at least 30 days' notice by email. They apply from your next renewal after that.

4. Metis voice and voice credit

  • Each plan includes minutes of talking to Metis a month (Jade 30, Sapphire 90, Amethyst 240, Obsidian 600). They start again on the 1st and don't carry over. Typing to Metis is unlimited within fair use.
  • Voice credit is bought in one-off packs. It doesn't expire while your account exists and is used only once the month's plan minutes are. It has no cash value and isn't refundable, except where the law requires it. If a payment for a pack is refunded or disputed, its minutes are removed.
  • We may limit unusual use (for example automated or shared use) to keep the service fair and working for everyone.

5. Your clients and their data

  • Consent. You only see what each client chooses to share, and only while they're coached by you. They can change it or leave at any time, and your access ends at once.
  • Your responsibilities. You're responsible for your coaching relationship with each client, including telling them how you use their information, and for your own compliance with data protection law as a controller of what they share with you. Our Data Processing Agreement (which forms part of these terms) covers what we process for you.
  • Only invite people who want to be coached by you, who are 16 or over, and whose details you have a right to use.
  • Keep it confidential. Don't export, copy or share clients' information except to coach them, as the law allows.

6. Coaching, health and AI

  • CutWise Pro is a tool. It doesn't provide medical, dietary or clinical advice, and it isn't a medical device. You're responsible for the advice you give, for holding any qualifications and insurance your work needs, and for referring clients to a medical professional when appropriate (for example signs of an eating disorder, injury or illness).
  • AI output can be wrong. Summaries, draft replies, rankings, programmes and anything Metis says are suggestions. Check them before relying on them or sending them; you're responsible for what you send. Metis never sends a message without your yes.
  • You may not use the AI tools to make decisions with legal or similarly significant effects on clients without human review.
  • Coach food and weight responsibly. Close tracking can harm someone with, or at risk of, an eating disorder. Don't set very low calorie targets or push rapid weight loss; watch for warning signs (rigid restriction, guilt about food, bingeing, fast weight loss, low mood around weigh-ins); and if you see them, stop pushing numbers and point the client to their GP or Beat (beateatingdisorders.org.uk). Clients can stop sharing weight, food or photos with you at any time, and you must respect that.

7. Acceptable use

Don't: break the law or anyone's rights; harass, discriminate or mislead; upload content you don't have the rights to (including exercise videos); access, scrape or reverse-engineer the service, or get round its limits or security; share your account; or use CutWise Pro to build a competing product.

8. Content

  • Yours. Your programmes, templates, notes, videos, logo and brand stay yours. You give us the licence we need to host, process and show them to run the service (for example showing your logo and videos to your clients).
  • Ours. CutWise, CutWise Pro, Metis and the service belong to Carbon Software LTD. These terms give you the right to use them, nothing more.
  • Feedback you send us we may use freely.

9. Availability and changes

We work hard to keep CutWise Pro running and improving, but it's provided "as is": we don't guarantee it will always be available, error-free or suit every purpose. We may change features; if we remove something important to your plan, we'll tell you in advance where we can, and you can cancel.

10. Liability

  • Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or anything else the law doesn't allow us to limit.
  • Otherwise, we're not liable for loss of profits, revenue, business, goodwill or data, or for indirect or consequential loss, or for advice you give clients.
  • Our total liability under these terms in any 12 months is limited to the fees you paid us in those 12 months.

11. Ending these terms

  • You can stop at any time by cancelling your plan and deleting your account.
  • We may suspend or end your account if you seriously or repeatedly break these terms, don't pay, or if the law requires it; where we reasonably can, we'll warn you first.
  • Your data when you leave: before deleting your account, ask us (info@cutwise.fit) for a copy of anything you want to keep, and we'll send it. Deleting it removes what belongs to your coaching (notes, programmes, check-ins, messages, Metis conversations, videos), as set out in the Data Processing Agreement. Your clients keep their own CutWise data.

12. General

  • These terms, the Data Processing Agreement and our Privacy Policy are the whole agreement between us about CutWise Pro.
  • We may update these terms; for material changes we'll give at least 30 days' notice by email. Continuing after that means you accept them.
  • If part of these terms is unenforceable, the rest still applies.
  • Governed by the law of Northern Ireland; the courts of Northern Ireland have jurisdiction.
  • Contact: info@cutwise.fit.
